Terms of service

These Terms of Service (“Terms”) are an agreement between you and Baleybots, Inc. (“Baleybots”, “we”, “us”). They govern your use of baleybots.com, the Baleybots app at app.baleybots.com, the Baleybots apps for your devices, our API and MCP server, the messaging channels you link to Baleybots, and anything else we offer that links to these Terms (together, the “Services”).

Please read Section 7 (AI output, calculations and reports) and Sections 15 and 16 (disclaimers and limits on liability) carefully. They limit what Baleybots is responsible for.

1. Agreeing to these terms

By creating an account, accepting an invitation, or using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you don’t agree, don’t use the Services.

If you use the Services on behalf of a company or other organization, you agree to these Terms for that organization and confirm you have authority to do so. “You” then means both you and the organization.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract.
  • Give us accurate information and keep it up to date.
  • Keep your password, passkeys and API keys secure. You are responsible for everything that happens under your account, including actions by API keys you create and by apps, agents and MCP clients you authorize.
  • Tell us promptly at hello@baleybots.com if you believe someone has accessed your account without permission.

3. The Services

Baleybots lets you connect data sources, describe what you want done with the data, and have AI models and automations do that work: extracting details, categorizing, summarizing, calculating, reporting, and sending results where you choose.

Baleybots is in private beta. Access is by invitation, and we may limit who can use the Services or how much. Features may change, break or be removed, and some are labeled beta or preview. We may change, suspend or discontinue any part of the Services. If we discontinue the Services entirely, we will give you reasonable notice so you can download your data through the app or the API, or ask us for a copy.

4. Your content

“Your Content” means everything you or your connected services provide to the Services, such as files, rows, messages, instructions and pipelines, and the Output the Services produce for you. You keep all rights to Your Content.

You give Baleybots a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display Your Content only as needed to provide, secure and support the Services for you. That includes sending it to our service providers and to the AI model providers that run the steps you configure, as described in the Privacy Policy. We don’t use Your Content to train AI models.

You confirm that:

  • you have the rights and permissions needed to provide Your Content and to have us process it;
  • where Your Content includes personal information about other people, you have given any notices and obtained any consents the law requires; and
  • Your Content and your use of it don’t violate the law or anyone else’s rights.

Baleybots is not a backup service. Keep your own copies of anything important, including your source records.

5. Connected accounts and third-party services

You can connect accounts at other services, such as Google, Plaid, X, Supabase, Neon, databases, websites and MCP servers. When you do, you authorize Baleybots to access them, and to read and write data there, as your settings and instructions require.

  • Your use of each connected service is governed by your agreement with that service. You are responsible for complying with its terms, including its rules on automation and posting.
  • We don’t control third-party services and aren’t responsible for them, for their availability, or for changes they make that affect a connection. A connector may stop working if a provider changes or withdraws access.
  • Connecting an account through Plaid gives Baleybots read access to account, balance and transaction information and, if you choose, loan and investment holding details. Baleybots doesn’t move money from accounts you connect through Plaid.
  • You can disconnect an account in the app at any time. To end our access at the provider as well, remove Baleybots in your account settings there.

6. Automations and agents that act for you

You can set up pipelines, boards, chat tools and browser agents that take actions for you. For example, they can write to a database, send data to a webhook, post on X, draft and send email from your Gmail, create or change calendar events, or use a website with your login. They act on your instructions, often automatically and repeatedly, and they can act on Output that is wrong.

  • You are responsible for the automations you set up and the actions you approve, and for their results in the services they touch.
  • Some actions ask for your approval before they run, such as a browser agent step that sends, pays, deletes or grants access. Those checks are a safeguard. They won’t catch every consequential action, so don’t rely on them alone.
  • Email Baley sends from your account goes out as you, and drafts it writes are yours to send. You are responsible for that email, including following the laws that apply to commercial email and having permission to email the people it reaches.
  • Test an automation on data you can afford to get wrong before you rely on it.
  • Only point a browser agent at sites and accounts you are authorized to use, and follow those sites’ terms.

To the maximum extent permitted by law, Baleybots is not responsible for actions carried out as you configured or approved them, or for their effects in third-party services.

7. AI output, calculations and reports

The Services use AI models and automated processing to read your data and produce results: extracted fields, categories, summaries, totals and other calculations, reports, boards, chat answers and actions (“Output”). Output can be wrong, incomplete or out of date. A model can misread a document or invent a value. A source can be incomplete, delayed or changed. A row can be skipped, duplicated or processed out of order. Our software can have bugs.

  • You are responsible for reviewing Output and checking it against your own records before you rely on it, especially before you file taxes, pay or invoice anyone, report to investors, lenders, regulators or customers, or make any other financial, legal or business decision.
  • Baleybots is not an accounting, bookkeeping, tax, payroll, banking, legal or financial advisory service, and it is not a system of record. Output is not professional advice.
  • Output generated for you may be similar to Output generated for others.

To the maximum extent permitted by law, Baleybots is not responsible or liable for errors in any calculation, total, balance, categorization, extraction, summary, report, board or other Output produced by the Services, or for any loss, penalty, fee, tax, interest or other consequence that results from relying on it.

8. Acceptable use

Don’t use the Services to:

  • break the law, or infringe or misappropriate anyone’s rights, including privacy and intellectual property rights;
  • process data you have no right to process, or access accounts or systems you are not authorized to use;
  • send spam or unsolicited messages, or post content that is fraudulent, deceptive, harassing or harmful;
  • violate the terms of a connected service or an AI model provider, including their usage policies;
  • make decisions that produce legal or similarly significant effects on people (such as credit, employment, housing or insurance decisions) based solely on Output;
  • attack, overload or disrupt the Services, get around rate limits, usage limits, billing or security, or access them other than through the interfaces we provide;
  • reverse engineer the Services, except where the law allows it, or use them to build a competing product; or
  • resell or give others access to the Services, except as we allow in writing.

9. API, MCP and keys

  • You can use our API and MCP server with the keys and authorizations we issue. Keep keys secret. You can revoke API keys in the app. To end an authorization you gave an app or MCP client, email us; removing it in that client only stops that client using it.
  • When you authorize a third-party app, agent or MCP client, it can act as you within the access you grant, and you are responsible for what it does. Its developer’s own terms and privacy practices apply to it.
  • We apply rate limits and usage limits and may change them. We may change or retire API features. Where we reasonably can, we will give notice before a change that breaks existing use.

10. iMessage and WhatsApp

If you link a phone number to Baleybots, you agree to receive messages from Baleybots at that number about the requests you make. Only link a number you own or are authorized to use. Your carrier’s message and data rates may apply. Reply STOP to unlink the number, or unlink it in the app.

11. Fees, credits and payment

  • Pricing. Each workspace gets a small one-time free credit. Other use is paid for with prepaid credits. Credit packs are shown on our pricing page and in the app. Charges depend on the resources your use consumes, such as AI model usage, browser time and reads from third-party services, and every charge is recorded in your ledger, which the app and API show.
  • Credits. Credits are bought in US dollars and are drawn down as you use the Services. Usage that has already happened is charged even if it takes your balance below zero, and you agree to pay that amount. It is taken from your next purchase.
  • Payment. Payments are processed by Stripe. You authorize us to charge the payment method you provide. If you turn on automatic top-ups, you authorize us to charge your saved card the top-up amount shown in the app whenever your balance falls below the threshold shown there, until you turn them off.
  • Refunds. Credits are non-refundable except where the law requires otherwise. We may issue a refund or credit at our discretion.
  • Expiry. Purchased credits don’t expire while your account is open. Credits have no cash value, can’t be transferred, and end when your account or workspace is closed, except where the law requires otherwise. Free or promotional credits may be limited or withdrawn at any time.
  • Your own provider keys. Where the Services let you use your own AI provider key, that provider bills you directly under your agreement with it.
  • Taxes. Prices don’t include taxes. You are responsible for any taxes that apply, other than taxes on our income.
  • Changes. AI model providers can change their rates at any time, and model usage is charged at the rate in effect when it happens. We may change Baleybots’ own prices. We post changes on our pricing page or in the app, and a change applies to use after it takes effect, not to credits you have already used.
  • Disputes. If you think a charge is wrong, contact us first. If a payment is reversed or disputed, we may remove the related credits and suspend paid features until it is resolved.

12. Feedback

If you send us ideas or feedback, we may use them without restriction or obligation to you.

13. Our intellectual property

Baleybots and its licensors own the Services, including the software, design, and our names and logos. These Terms give you a limited, non-exclusive, non-transferable right to use the Services while you follow them. We reserve all other rights.

14. Suspension and termination

You can stop using the Services at any time. To close your account, email hello@baleybots.com.

We may suspend or end your access if you breach these Terms, don’t pay amounts you owe, create risk or harm for Baleybots, other users or third parties, or if the law requires it. Where it is reasonable, we will tell you first and give you a chance to fix the problem.

When your account closes, your right to use the Services ends and we delete Your Content as described in the Privacy Policy. Sections 4 to 7 and 11 to 20, and any other provision that by its nature should survive, continue to apply after these Terms end, as do any amounts you owe.

15. Disclaimers

The Services and all Output are provided “as is” and “as available”. To the maximum extent permitted by law, Baleybots disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We don’t warrant that the Services or Output will be accurate, complete, reliable, current, uninterrupted, secure or error-free, that data will not be lost, or that any connected service will work with the Services. Beta and preview features are provided without any commitment. Some jurisdictions don’t allow certain warranties to be disclaimed, so some of these disclaimers may not apply to you.

16. Limitation of liability

To the maximum extent permitted by law, Baleybots and its officers, employees, agents and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, or the cost of substitute services, arising out of or relating to these Terms or the Services, including errors in Output described in Section 7 and actions taken by automations described in Section 6, even if we were told such damages were possible.

To the maximum extent permitted by law, Baleybots’ total liability for all claims arising out of or relating to these Terms or the Services will not exceed the greater of the amounts you paid Baleybots in the 12 months before the event giving rise to the claim, or US$100.

These limits apply whatever the legal theory, whether contract, tort (including negligence) or otherwise, and even if a remedy fails of its essential purpose. They don’t limit liability that the law does not allow to be limited.

17. Indemnity

You will defend and indemnify Baleybots and its officers, employees and agents against third-party claims, and the resulting losses, damages and reasonable legal fees, arising from Your Content, your use of the Services, your automations and connected services, or your breach of these Terms or the law. We will tell you about a claim promptly and may take part in its defense with our own counsel at our own cost.

18. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Except as the next paragraph allows, any dispute arising out of or relating to these Terms or the Services will be heard only in the state or federal courts located in Delaware, and you and Baleybots consent to their personal jurisdiction.

Before filing a claim, please email us and give us 30 days to try to resolve it informally. Either party may bring an individual claim in a small claims court where it qualifies, and may seek urgent injunctive relief in any competent court to protect its intellectual property or confidential information.

19. Changes to these terms

We may update these Terms. We will post the new version here and change the date at the top. If a change is material, we will tell you by email or in the app before it takes effect. If you keep using the Services after the change takes effect, you accept the new Terms. If you don’t agree, stop using the Services and close your account.

20. General

  • These Terms and any terms we show you for a specific feature are the entire agreement between you and Baleybots about the Services. The Privacy Policy explains how we handle information.
  • If any part of these Terms can’t be enforced, the rest stays in effect. If we don’t enforce a right, we don’t waive it.
  • You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
  • We are not liable for delays or failures caused by events beyond our reasonable control, including outages at connected services and AI model providers.
  • You must comply with US export controls and sanctions laws, and you confirm you are not in a sanctioned country or on a restricted-party list.
  • We may send you notices by email or in the app. Send notices to us at hello@baleybots.com.
  • You and Baleybots are independent parties. These Terms create no partnership, agency or employment.
